These Terms and Conditions ("Terms") govern your use of the PulseSpec website located at pulsespec.com and all engineering services provided by PulseSpec, a service of Lissjos Engineering LLC ("Company," "we," "us," or "our"). By accessing our website or purchasing our services, you ("Client," "you," or "your") agree to be bound by these Terms.

1. Services

PulseSpec provides electrical systems engineering consulting services, including but not limited to:

• Engineering retainer subscriptions (ongoing monthly support)
• Electrical architecture review packages
• Wiring harness and cable design packages
• Custom engineering consulting engagements

All services are provided remotely on an asynchronous basis unless otherwise agreed upon in writing.

2. Engineering Retainer Subscription

The Engineering Retainer is a recurring monthly subscription priced at $4,000 per month. By subscribing, you agree to the following:

• Billing: You will be charged $4,000 upon subscribing and on each subsequent monthly renewal date. All payments are processed through Stripe.
• Scope: The retainer includes one active request at a time with unlimited total requests per billing period. Most deliverables are completed within 48–72 business hours.
• Pause: You may pause your subscription at any time. Unused days carry forward and will be available when you resume. Billing cycles operate on a 31-day period.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused time within a billing period unless the subscription is paused.
• No Guarantee of Specific Outcomes: While we provide senior-level engineering expertise and best-effort deliverables, the retainer does not guarantee specific business outcomes, project success, or regulatory compliance.

3. Project-Based Engagements

For project-based work (architecture reviews, harness design packages, custom scoping):

• Each engagement begins with an asynchronous scoping brief at no charge.
• A fixed-price proposal with defined deliverables, timeline, and acceptance criteria will be provided before work begins.
• Payment terms are specified in each proposal and are typically due upon project completion or according to agreed milestones.
• Scope changes require mutual written agreement and may result in revised pricing.

4. Payment Terms

• All prices are in US Dollars (USD).
• Payments are processed securely through Stripe. We do not store your payment card details on our servers.
• You are responsible for providing accurate and current payment information.
• Failed payments may result in suspension of services until payment is resolved.
• All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.

5. Refund Policy

Due to the nature of professional consulting services:

• Retainer subscriptions: No refunds are issued for the current billing period. You may pause or cancel to avoid future charges.
• Project engagements: Refund eligibility is addressed on a case-by-case basis and depends on the stage of deliverable completion.
• If PulseSpec is unable to fulfill an agreed-upon scope of work, a pro-rated refund may be issued at our discretion.

6. Intellectual Property

• All deliverables (documents, designs, specifications, analyses) created during an engagement are the property of the Client upon full payment.
• PulseSpec retains the right to use anonymized, non-confidential methods, techniques, and general knowledge gained during engagements for future work.
• PulseSpec retains ownership of all proprietary tools, templates, and methodologies used in delivering services.

7. Confidentiality

PulseSpec treats all Client information as confidential. We will not disclose, share, or use your proprietary information for any purpose other than fulfilling the agreed-upon engagement, unless:

• You provide written consent.
• Disclosure is required by law or regulation.
• Information becomes publicly available through no fault of PulseSpec.

If a separate Non-Disclosure Agreement (NDA) is required, we are happy to execute one prior to engagement.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• PulseSpec's total liability for any claim arising from services rendered shall not exceed the total fees paid by the Client during the three (3) months preceding the claim.
• PulseSpec shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.
• Engineering recommendations and deliverables are based on the information provided by the Client. PulseSpec is not responsible for decisions, implementations, or outcomes resulting from incomplete or inaccurate information provided by the Client.

9. Disclaimer of Warranties

Services are provided "as is" and "as available." PulseSpec makes no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. While we strive for accuracy and quality, engineering consulting involves professional judgment and inherent uncertainties.

10. Independent Contractor

PulseSpec operates as an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between PulseSpec and the Client.

11. Termination

Either party may terminate an engagement with written notice. Upon termination:

• Outstanding payments for completed work remain due.
• Client receives all completed deliverables up to the date of termination.
• Confidentiality obligations survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of the State of California.

13. Modifications

PulseSpec reserves the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the modified Terms.
